Terms of Service

The short version on fees

Creating and sending invoices on the Free plan costs nothing. If you collect a card payment through ZeroDue while on the Free plan, we deduct a 1% platform fee from that payment. Paid plans do not carry this fee. Stripe's own processing fees apply on every plan and are set by Stripe, not by us.

1. Who we are

ZeroDue is invoicing software for freelancers and small businesses, operated from the United Kingdom. In these terms, “we”, “us” and “ZeroDue” mean the operator of the ZeroDue service, and “you” means the person or business using it.

2. The service

ZeroDue lets you create, send and track invoices and estimates, record expenses, and — if you connect Stripe — accept card payments from your clients.

We provide the software. We are not your accountant, bookkeeper or tax adviser, and nothing in the product is tax or legal advice. You are responsible for the accuracy of what you invoice, for charging the correct VAT, and for meeting your own filing obligations.

3. Your account

You need an account to use ZeroDue. Keep your login details secure — you are responsible for activity that happens under your account.

You must be at least 18 and able to enter into a contract. If you use ZeroDue on behalf of a business, you confirm you are authorised to accept these terms for it.

4. Plans and billing

ZeroDue offers a Free plan and paid subscription plans. Current prices and what each plan includes are shown on our pricing page.

Paid plans renew automatically for the billing period you chose until you cancel. You can cancel at any time from your account; cancellation takes effect at the end of the period you have already paid for, and you keep access until then.

Some features outside your plan's allowance are available as paid extras, priced at the point of use. Where we offer a free trial, it is available once per account.

We may change prices. If we do, we will give you reasonable notice before the change applies to your renewal, and you can cancel if you do not want to continue.

5. Payments and the platform fee

Card payments are processed by Stripe through a Stripe account connected to yours. Money from your clients is paid into your own Stripe account. We never hold your funds and card details never reach our servers.

On the Free plan we deduct a platform fee of 1% of each card payment collected through ZeroDue, at the time the payment is taken. For example, on a £1,000 invoice paid by card the fee is £10. On paid plans the platform fee is 0%.

This is separate from Stripe's own processing fees, which Stripe sets and deducts under your agreement with them, on every plan.

The fee that applies is the one in effect when the payment is captured. Using Stripe through ZeroDue also means agreeing to Stripe's Connected Account Agreement.

6. Refunds

Subscription refunds are covered by our refund policy.

Refunds you issue to your own clients are between you and them. You can refund a payment through Stripe; note that the platform fee and Stripe's processing fees on the original payment are not automatically returned.

7. Your content and data

Your invoices, client records and business details remain yours. You grant us only the permission needed to host and process them so we can provide the service.

You are responsible for having a lawful basis to store your clients' details in ZeroDue. How we handle personal data is set out in our privacy policy.

You can export or delete your data from your account settings. Deleting your account removes your data from the live service.

8. Acceptable use

You agree not to use ZeroDue to:

  • send fraudulent invoices or invoices for goods or services you have not provided;
  • break the law, or infringe someone else's rights;
  • send unsolicited bulk email through the service;
  • attempt to access other users' data, or probe, scan or overload our systems;
  • resell or white-label the service without our written agreement.

We may suspend or close an account that breaches this section. Where the breach is not serious we will contact you first.

9. Availability

We work to keep ZeroDue available and reliable, but we do not guarantee uninterrupted service. We may need to take the service down for maintenance, and we depend on third parties such as Stripe and our hosting and email providers.

Keep your own copies of anything you cannot afford to lose. PDFs of your invoices can be downloaded at any time.

10. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

Subject to that, we are not liable for lost profits, lost business or indirect losses, and our total liability to you in any 12-month period is limited to the amount you paid us in that period.

If you are a consumer, you keep your statutory rights and nothing here affects them.

11. Ending these terms

You can stop using ZeroDue and close your account at any time. We may end these terms by giving you reasonable notice, or immediately if you seriously breach them.

12. Changes to these terms

We may update these terms. If a change materially affects you we will tell you before it takes effect. Continuing to use ZeroDue after that means you accept the updated terms. The date at the top of this page shows when it last changed.

13. Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer resident elsewhere in the UK, you may bring proceedings in your home jurisdiction.
